I haven't set one up with the Mathworks stuff in a while, but it
sounds as if the Matlab downloader is trying to talk to its
bootloader, and it's not able to. Is that installed on the flash on
the MPC555, and are you resetting it/powering it up after starting the
download from Matlab?
