Assigning the OpenID EU Trademark to the OIDE FoundationDear
OpenID Europe Community -- Dear Members of the Trademark Committee, In
March of this year, Johannes Ernst was the first to make a remarkable
commitment directly relating to the "OpenID" brand, which had been
protected in the USA (USPTO) until then by his company (R-Objects Inc);
Johannes assigned it to OIDF for the token sum of $1 (one dollar). I
had expressed also at that time that I would do the same for Europe as soon as
it would be legally possible. Just
a reminder: just like Johannes, I had, of my own initiative, protected the
OpenID brand in Europe at the start of 2007, before the OpenID Europe
Foundation had any legal existence. As you know, the process of registering
intellectual property in the UE is slow (up to 15 months) and rather costly. I
am pleased to announce that I have received today the official certificate of
registration of the brand name "OpenID" in Europe (OHIM), which will
allow me in turn to do what Johannes did, by assigning the brand name
"OpenID" to OIDE for the token sum of €1 (one euro). Because
I have spoken with many of you, but also with future businesses and member
organizations, I know that you are comforted by, and appreciative of the fact
that the OpenID brand will be protected by the laws of the European Union. This
will be achieved in just a few days. Although
this process represents an important step for what concerns IPR, it is not yet
over. It is indispensible that it be actively pursued further, to finalize a
single, Worldwide TM/logo Policy upon which all the OpenID Foundations/Chapters
in the world will be able to rely to warrant fair and free use by the totality
of the OpenID Community... The
document "TRADEMARK ASSIGNMENT" adapted from Johannes’ model (and
thanks Yahoo) is attached for your perusal. Best

ASSIGNMENT Between: Mr. Snorri Giorgetti, residing at 66, avenue des Champs Elysées, 75008
Paris, France (hereinafter, “Assignor”) And: The OpenID Europe AISBL (OIDE) (openideurope.eu),
an International Association having its principal office at avenue de
Broqueville, 297/5, 1200 Brussels, in Belgium. (hereinafter, “Assignee”) Whereas: The Assignor has adopted, used, is
using and is the owner of the following trademark now registered in the Office
for Harmonization in the Internal Market (“OHIM”): « OpenID » registered under
the N° 005796412 (hereinafter “the Trademark”) In the following 27 countries:
Whereas: The Assignee is desirous of
acquiring the Trademark. Now, Therefore, in consideration of the
sum of one Euros (€1.00) and other good and valuable consideration, the receipt
and legal sufficiency of which is hereby acknowledged, Assignor hereby assigns
to Assignee all right, title and interest in the European Union (in the 27
countries listed) in and to the Trademark together with the goodwill of the
business symbolized thereby and all registrations thereof. Assignor further agrees
to execute all papers and to perform such other proper acts as necessary to
secure to Assignee the rights herein assigned. This Agreement is to be interpreted
under the laws of the Belgium without regard to any choice of laws provision
which would require construction under the laws of any other jurisdiction.
